IDP - SID-INSEAD International Directors Programme

Course Description The International Directors Programme (IDP) was brought to Asia in 2014 through a collaboration between SID and INSEAD. IDP seeks to develop more effective directors for the increasingly complex governance challenges presented by dynamic global markets. INSEAD’s cutting-edge research and international perspective makes the IDP a natural forum for board members throughout the world to share the challenges facing them and explore new solutions.

This programme comprises three modules that are designed to take directors to the next level by going beyond compliance and focusing on excellence in board practices. IDP offers practical and tested frameworks as well as tools to hone judgement, sharpen decision making and augment the oversight abilities of directors seeking to boost their existing competences or to be better prepared for new board mandates.

Each cohort comprises participants from many countries across the globe, representing the make-up of today’s global boards. Since its launch in Europe in 2011, over 900 directors from over 60 countries have completed this world-class programme from a world-class educator.

Upon completion of the programme, participants may apply for the INSEAD Certificate in Corporate Governance, the first truly international qualification for board members from a renowned academic institution.
Course Objectives
  1. Provide an understanding of the broader context in which boards operate and the responsibilities that come with a board mandate.
  2. Provide an overview of the knowledge and competencies expected of directors in today’s environment.
  3. Develop skills that contribute to the creation of an effective board culture and performance.
  4. Enhance the participant’s ability to challenge executives through  positive exchanges focused on the key issues that underpin corporate performance.
  5. Provide an opportunity to join a unique network of board members from a variety of industries and geographies.
Course Outline IDP comprises three modules spread over a six-month period. Each module is conducted over three consecutive days. Modules 1 and 3 are conducted at INSEAD’s campus in Singapore and Module 2 at INSEAD’s campus in Fontainebleau, France.

For each module, the programme will focus on three fundamental questions:
•    What do directors need to know in order to set the direction of the company?
•    What are the proper boundaries within which the company should operate?
•    How best can directors exercise their responsibilities to get things done in the boardroom?

  1. Module 1: Board fundamentals: responsibility, effectiveness, decision making, and strategy.
    a. Fundamentals of director and board effectiveness.
    b. Fiduciary duty and shareholder supremacy.
    c. The main governance challenges.
    d. Effective decision making in the boardroom.
    e. The Strategy imperative.
    f.  Value Creation at board level.

  2. Module 2: Board dynamics, efficiency and the role of committees.
    a. CEO-Board dynamics and conflicts.
    b. The Director as political actor & the question of power.
    c.  Fair Process Leadership – a model for the board.
    d. CEO selection, oversight, evaluation, and succession.
    e. CEO Remuneration.
    f.  Financial statements and red flags in reporting.

  3. Module 3: Developing directors and their boards.
    a. Boards and organisations in crisis.
    b. Fraud as a consequence of poor governance.
    c.  The challenge and opportunity of board diversity.
    d. Putting it all together through a board simulation.
    e. 360 evaluation of director strengths and development opportunities.
    f.  Group coaching techniques for director improvement.
    g. Reflecting on roles and commitments.
