BDF - Board and Director Fundamentals
Course Description
This course provides a broad-based understanding of what a director of a company needs to know with regards to his or her duties, responsibilities and liabilities, and how he or she can be effective as a director.
The course is designed for directors of companies incorporated under the Companies Act, which includes directors of commercial companies and those nonprofit organisations which are incorporated as Companies Limited By Guarantee (CLGs).
Course Objectives
Define key duties and responsibilities of the board and directors.
Explain the regulatory framework for directors and companies.
Identify the key elements of financial and other disclosures needed.
Describe the key components of effective board leadership.
Recognise the balance between performance and compliance.
Course Outline
Key factors in the regulatory environment.
a. What and who is a director?
b. What is corporate governance?
c. The roles and responsibilities of key regulatory bodies in Singapore: ACRA, IRAS, MOM and MAS.
Legislation affecting all companies.
a. The Companies Act and other legislations that a director needs to know.
Director duties and responsibilities.
a. A director’s fiduciary duty of care and skill.
b. The key statutory duties and responsibilities of a director.
c. Expectations of a director: disclosure, financial, tax and audit.
d. Strategy for directors.
Being a director.
a. Due diligence and considerations in accepting a directorship.
b. Liabilities for breaching the duties imposed on directors..
c. Directors’ and officers’ liability (D&O) insurance.
An effective board.
a. The key components of an effective board.
b. Understanding key relationships: the board, the auditor, the company secretary, shareholders/owners, and management.
c. Board meetings, workings and processes.
