BDF - Board and Director Fundamentals

Course Description This course provides a broad-based understanding of what a corporate director needs to know with regards to his or her duties, responsibilities and liabilities, and how he or she can be effective as a director. The course is designed for directors of companies incorporated under the Companies Act.
Course Objectives
  1. Define statutory and fiduciary duties and responsibilities of directors.
  2. Provide an overview of the regulatory environment and the corporate governance landscape in Singapore.
  3. Highlight the critical elements of financial and other disclosures needed.
  4. Describe the key components of effective board leadership.
  5. Recognise the balance between performance and compliance.
Course Outline
  1. The directorship landscape and regulatory environment.
    • Who and what is a director.
    • What is corporate governance.
    • The roles and responsibilities of key regulatory bodies in Singapore: ACRA, IRAS, MOM, MAS.
  2. Legislation affecting all companies.
    • The Companies Act and other legislation a director needs to know.
  3. Director duties and responsibilities.
    • Statutory and fiduciary duties and responsibilities of directors.
    • Expectations of a director: disclosure, financial, tax and audit.
  4. Being a director.
    • Due diligence and considerations in accepting a directorship.
    • Liabilities for breaching the duties imposed on directors.
    • Directors and officers liability (D&O) insurance.
  5. An effective board.
    • The key components of an effective board.
    • Key relationships: the board, auditor, company secretary, shareholders/owners, management.
    • Board meetings, workings and processes.
