Dear Member,

We wrap up our 25th anniversary celebrations with SID’s inaugural Gala Dinner on 30 November, join us as we celebrate our achievements and our supporters – read on to learn how you can be part of this event.

Following the successful conclusion of our Annual General Meeting on 26 October, we welcomed three Council members who were re-elected and five Council members who were elected into the 2023-2024 SID Governing Council. As part of Council renewal, we bade farewell to five Council members who stepped down:

  • Ms Wong Su-Yen, FSID (Immediate past chair)
  • Ms Junie Foo, FSID
  • Mr Philip Forrest, FSID
  • Ms Poh Mui Hoon, FSID
  • Ms Theresa Goh, FSID.

On behalf of the Institute, we register our deepest gratitude to all five former Council members for their dedication and contributions, and look forward to their continued support.

The annual Corporate Governance Roundup and the Singapore Directorship Report launch events were both well attended. The Singapore Directorship Report – an industry benchmark on the state of directorship in Singapore – is now available exclusively for SID members to view online. Don’t forget to also check out the fourth quarter edition of SID Directors Bulletin (for SID members only). Titled “Governance for Good” to echo SID’s 25th anniversary theme, this issue covers a wide range of topics from getting onto your first board to navigating global trade dynamics.

We have commenced our accreditation process, with more than 250 members recognised as Accredited Director or Senior Accredited Director within the first week of launch. As announced by Deputy Prime Minister and Minister for Finance Mr Lawrence Wong at our 25th anniversary commemorative event, the SID accreditation provides directors with structured development pathways, communicating their competencies to boards looking to appoint directors. This month, SID and NCS will launch the prototype for SIDgpt, a generative AI-powered contextual search engine on directorship and corporate governance in Singapore. The three-month pilot phase is exclusive for SID members who can explore various scenarios, analyse case studies and seek guidance on corporate governance matters. This interactive engagement fosters a deeper understanding of directorship issues, facilitates data-driven decision-making and supports continuous learning and professional development. The pinnacle of our 25th Anniversary celebrations is the Gala Dinner to be held on 30 November. We are honoured to have Minister in the Prime Minister's Office, Second Minister for Finance and National Development Ms Indranee Rajah grace the occasion, which will be hosted by MediaCorp GOLD 905 DJ Ms Vernetta Lopez. Our very own SID member Mr Richard Eu, Chair of Eu Yan Sang International will be performing with his jazz band Cat Mountain King. There will be good food, drinks, entertainment, lucky draw prizes and opportunities to network with fellow board directors, partners and friends of the directorship and governance ecosystem. Green Infrastructure
6 November 2023

Companies have to invest in green infrastructure (including IT systems and data centres), as energy prices escalate. As businesses transit to a low-carbon economy and adapt to carbon-offset markets, change management policies should incorporate programmes and initiatives that can help a company reduce risk and comply with new regulations. Such an approach can positively impact procurement practices and improve the firm’s environmental performance with environmentally-responsible technology.
 
Qualified Listed Entity Director Assessment
10, 14 November 2023


SID members who complete all five Listed Entity Director (LED) Programme Core modules on the listed entity environment and any two Elective modules on the work of the main board committees may opt to sit for the Qualified Listed Entity Director (QLED) Assessment. Candidates who pass the assessment will be awarded a QLED Certificate from SID to recognise that they have demonstrated mastery in foundational knowledge of the duties and responsibilities of boards and directors.

Listed Entity Director Programme

The Listed Entity Director (LED) Programme is a pre-requisite course supported by the Singapore Exchange for first-time appointees on boards of listed companies. Launch of the Singapore Directorship Report 2023
18 October 2023

Key findings from the Singapore Directorship Report 2023 include an increase in independent directors occupying board seats, more women directors appointed to boards, a continued reluctance to disclose remuneration of CEOs and directors, and an increase in number of directors holding only one board appointment. The Singapore Directorship Report is produced by SID, with the support of ACRA and SGX, in partnership with Deloitte, Handshakes and SIT.


Corporate Governance Roundup 2023

The annual Corporate Governance Roundup provided a quick refresher on the year’s happenings in the areas of corporate governance and directorship – and offers a forecast of what to look out for in 2024. Key highlights included regulatory updates and emerging trends, as well as a snapshot on the state of directorships in Singapore. These bite-sized topics were covered by SID council members who are leading practitioners, directors and experts in corporate governance.
