The appellate court’s decision to clear former company director Dr Goh Jin Hian of liability for US$146 million (S$187 million) in losses is a landmark ruling. While Dr Goh breached his duty of care, the court ruled that the company failed to prove his actions caused the losses. Join the Senior Counsel who successfully argued Dr Goh’s appeal, Thio Shen Yi, who will outline the key aspects of the case and the lessons for boards. Ng Wai King
Chairman & Senior Partner, WongPartnership LLP

Mr Ng Wai King is the Chairman and former Managing Partner of WongPartnership LLP. An M&A and private equity lawyer, he has worked on a number of high profile and complex transactions including the merger of the offshore marine businesses of Keppel and SembMarine; the restructuring by CapitaLand and CLA; the demerger of SembMarine from SembCorp Industries; the merger between Fraser Commercial Trust and Fraser Logistic & Industrial Trust; CapitaLand’s acquisition of Ascendas-SingBridge; privatisation of GLP by the Nesta consortium; Temasek’s privatisation of SMRT; Walmart’s acquisition of Flipkart in India; Blackstone’s acquisition of Croesus; KKR’s acquisition of Goodpack, Unisteel and MMI, and TCC/Thai Beverage’s takeover of F&N. Mr Ng also serves as a director on the Monetary Authority of Singapore, National University of Singapore Board of Trustees, Singapore Institute of Legal Education and Wah Hin & Company.

Lily Low
Independent Director, Standard Chartered Bank

Ms Lily Low is a seasoned Chief Financial Officer and SID accredited board director with over three decades of experience in transforming organisations across the banking, technology and sustainable energy sectors. She has a proven record in corporate governance and risk management, successfully steering complex global and entrepreneurial organisations through transformation, international expansion, capital fundraising and sustainable growth initiatives. Ms Low serves as an Independent Director at Standard Chartered Bank Singapore and is a member of the audit committee, where she brings deep expertise in Asian markets, corporate governance and risk management. Additionally, she is a member of the audit and risk management committee of the Singapore Institute of Directors and the corporate governance and risk management committee of the Institute of Singapore Certified Accountants.

Tham Sai Choy
Independent Director


Mr Tham Sai Choy is actively involved in various organisations as an independent director. He serves on the boards of listed companies DBS and Keppel, as well as a diverse range of organisations including the Singapore International Arbitration Centre, Mt Alvernia Hospital and the Tax Academy of Singapore. He has been an active participant in the development of accounting standards and governance standards for businesses, with previous roles at the Accounting Standards Council, the Corporate Governance Advisory Council and the Singapore Institute of Directors. In professional practice as a chartered accountant until his retirement from KPMG as its Asia Pacific chairman, he led audits of major companies, forensic investigations into high profile risk situations and insolvency appointments of failed companies.

Thio Shen Yi
Joint Managing Partner, TSMP Law Corporation


Mr Thio Shen Yi is a joint managing partner of TSMP Law Corporation. He read law at St John’s College, Cambridge University, graduating in 1991. He topped the English Bar Examinations and was called to the Singapore Bar in 1993. He was appointed Senior Counsel in 2008 at 40 and elected a Master Bencher of The Middle Temple in 2016. He served as the President of the Law Society from 2015-2016 and is currently a Board Member of Pro Bono SG. He is recognised as a top tier disputes lawyer in global journals such as Chambers, IFLR1000, Legal 500, Lexology and Benchmark Litigation. Some of his more prominent cases include currently acting as legal advisor to KPMG in respect to claims commenced by the liquidators of the Hyflux Group, and representing private investor Peter Lim in his successful defence against claims of over SG$150 million made by Raffles Town Club, in 2009.

Nanthini Vijayakumar
Partner, TSMP Law Corporation

Ms Nanthini is a partner at TSMP Law Corporation acting for clients in complex corporate and commercial disputes. She specialises in shareholder and investment disputes and has extensive experience advising directors on the scope of their duties and representing directors in court proceedings, internal investigations and regulatory bodies. She began her career as a pupil at TSMP Law Corporation and rose through the ranks, becoming one of the youngest lawyers admitted to TSMP’s partnership. She was recently recognised as a Future Star (Commercial & Transactions) by the 2025 edition of Benchmark Litigation.
