Boardroom disputes challenge our understanding of corporate governance and directorship responsibilities, especially in balancing accountability, independence and influence. Moderator
Wilson Chew
Managing Partner, JP Wilson

Dr Wilson Chew is the Managing Partner at JP Wilson, a private client growth and strategy firm. He is a former lead partner for strategy at the entrepreneurial and private clients practice of PwC. With over 20 years in enterprise growth strategy, he has served over 200 entrepreneur and family-led companies, and led 140 strategy engagements including 12 public listings in Asia, 26 private transactions and two national scale-up initiatives with the Singapore government. Dr Chew is a former Council member of the Singapore Institute of Directors and chaired its regulatory affairs and professional development committees. He has served on the boards of National Arthritis Foundation as deputy chairman and Swee Hong. Dr Chew holds the following qualifications: JD, Law (Hons), Singapore University of Social Sciences; DBA, University of South Australia; and MBA, Strathclyde Business School.

Chew Sutat
Chairman, Shan De Advisors


Mr Chew Sutat served 14 years in Singapore Exchange’s (SGX) executive management, most recently as senior managing director. He led global sales, equity and debt capital markets, and oversaw SGX’s international offices. He previously held senior roles at Standard Chartered Bank, OCBC Securities and DBS Bank. In 2021, he founded Shan De Advisors and is a non-executive director at Income Insurance. He advises Teneo, China Galaxy Securities International, Real Vantage and NTU’s Innovation and Entrepreneurship board. Mr Chew chairs Community Chest and serves on the boards of National Council of Social Service and ImpactSG. A Senior Accredited Director and Fellow of both Singapore Institute of Directors and Institute of Banking and Finance, he was awarded the Global Investor Asia Capital Markets Lifetime Achievement Award in 2021.

Marleen Dieleman
Professor, IMD Business School

Dr Marleen Dieleman holds the Peter Lorange Chair in Family Business at IMD. Her research focuses on the governance, strategy, internationalisation and transformation of emerging market enterprises, in particular family business groups in Asia. She is an award-winning teacher, a widely published academic, and a frequently invited speaker. Prof Dieleman has worked with numerous Asian business families as an adviser and board member. She is a senior accredited board director and serves as the co-chair of the Family Business Group at the Singapore Institute of Directors. 

Rachel Eng
Managing Director, Eng and Co. LLC


Rachel Eng is the Managing Director of Eng and Co. LLC, part of the network of member firms of PricewaterhouseCoopers International. She is a corporate lawyer with more than 30 years of experience, focusing on corporate mergers and acquisitions, corporate advisory, corporate governance, ESG and listings work. Ms Eng is a board member of JTC Corporation and The National Environment Agency. She is a Singapore country representative to the ASEAN Business Advisory Council, a member of the Appeals Panel of Abu Dhabi Global Market, a council member of the Singapore National Employers Federation and a member of the SGH Health Development Fund Committee. She is a former board member of Olam International, StarHub and SPH REIT Management.


Lawrence Loh
Director, Centre for Governance and Sustainability, National University of Singapore


Prof Lawrence Loh is Director, Centre for Governance and Sustainability (CGS) at the National University of Singapore’s (NUS) Business School. He is also Professor in Practice of Strategy and Policy at the School. Prof Loh leads governance and sustainability studies covering Asia Pacific, ASEAN and Singapore. He heads the Singapore Governance and Transparency Index and ASEAN Corporate Governance Scorecard projects at CGS, and consults for global companies and international organisations. He is on the NUS Honour Roll and is a multi-year winner of the NUS Annual Teaching Excellence Award. Prof Loh has a PhD in Management from Massachusetts Institute of Technology; his thesis on technology governance was conferred first prize in a worldwide doctoral competition in management information systems.
